Islamic Banking and Finance |
We offer full services in this area. We have over 25 years’ of Islamic finance experience and are widely recognized as one of the leading legal practices in this field as we fully understand the principles and values underlying Islamic finance.
Our major transactions in this area are:
- We have acted as legal counsel for BNP Paribas in the issuance of the US$650 million Sukuk Al-Manfa'a for Saad Trading & Contracting and Financial Services Company (STCFSC), the second largest bond issue in Saudi Arabia;
- Advising an international financial institution on Saudi law issues relating to the private placement of an Islamic Real Estate Fund;
- Advising several international financial institutions in connection with Saudi securities and financial services issues;
- Acting for the lenders to the project company in the first IWPP (Shoaiba) in Saudi Arabia;
- Advising in connection with the creation of an Islamic fund for the purposes of financing companies on Murabaha principles.

Corporate and Commercial |
We provide comprehensive commercial and corporate services to local and international clients, ranging from establishing business to various commercial and corporate matters. We have rendered services in, inter alia, the following areas:

Our major transactions in this area are:
- Advising (together with other international firms) the Communication and Information Technology Commission ("CITC") in connection with the issuance of the second Saudi Arabian GSM license and first 3G license (The first Saudi Arabian privatization/deregulation where competition to the incumbent service provider will be allowed through a public joint stock company);
- Advising a number of consortium in connection with the bidding for the third GSM license and fixed license issued by the CITC for the Saudi Arabia;
- Advising a consortium led by Ramat International Technologies, including MCI International Services Inc., in connection with the bidding for the second Fixed license issued by the CITC for the Saudi Arabia;
- Acting as counsel to the issue in the IPO of 20% of the share capital of Ettihad Etisalat , being the first of such IPO under the new Capital Market Regulation. THE FIRM is also acting as counsel for several high-profile IPO transactions in Saudi Arabia.

Real Estate Transaction |
Our team has the resources to deal with all real estate issues, ownership disputes, endowments, and issues arising from corporate, banking and projects with which we are involved. We have rendered services in, inter alia, the following areas:
- Construction contracts including BOT;
- Advising on major real estate projects such as Red Sea Mall, Al-Mousa Development and Jeddah Development Holding Company;
- Acting as counsel in real estate arbitration case financed by Murabaha structure between Al-Jazeera Bank and Mirsal Town;
- Advising on the first ever financed housing project in Saudi Arabia under the name of Al-Khaleej Projects Company in Jeddah consisting of 300 villas;
- Advising on Prince Fawaz residential project, the first ever project resulting from public and private joint venture;
- Advising on a large-scale hotel project undertaken by Malaysian Company in the area of Al-Madinah Al-Munawarah;
- Advising a Saudi financial institution in connection with its acquisition of US$150 million portfolio of residential and commercial properties in the USA based on Islamic financing principles;
- Structuring financial products for the National Commercial Bank with regard to their home financing scheme.
